Domain Name Ownership Agreement
This Agreement is made and entered into on [date] by and between [Business Owner’s Name] (hereinafter referred to as “Business Owner”) and Nathan Kliewer (hereinafter referred to as “Webmaster”).
Domain Name. The parties agree that the domain name [domain name] (the “Domain Name”) is registered in the name of [Webmaster/Business Owner].
Ownership. The Business Owner acknowledges that the Webmaster is the legal owner of the Domain Name, and that the Webmaster has the right to use and control the Domain Name in accordance with this Agreement.
Renewals. The Webmaster shall be responsible for renewing the Domain Name on or before its expiration date, and the Business Owner shall reimburse the Webmaster for any expenses related to the renewal of the Domain Name.
Transfer of Ownership. In the event that the Webmaster leaves the project or the company, the Webmaster shall transfer the ownership of the Domain Name to the Business Owner within 30 days after the termination of their employment.
Representations and Warranties. The Webmaster represents and warrants that the Domain Name does not infringe the trademark or other intellectual property rights of any third party and that the Webmaster has the right to use and control the Domain Name in accordance with this Agreement.
Indemnification. The Webmaster shall indemnify and hold harmless the Business Owner from and against any and all claims, damages, and expenses (including reasonable attorney’s fees) that may be incurred by the Business Owner as a result of any claim of infringement or other violation of any intellectual property rights in connection with the Domain Name.
Dispute Resolution. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [state/country].
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
